I am submitting to ScriptMaven herewith the following described material, ideas, or creative work (hereinafter referred to as "said material(s)")

I am at least 18 years of age. I enter into this agreement with the express understanding that ScriptMaven agrees to perform the services requested while relying on my covenants, representations, and warranties contained herein.

I warrant that I am the sole owner and author of said material, that I have the exclusive rights and authority to submit same to ScriptMaven upon the terms and conditions stated here. I indemnify ScriptMaven for any and all claims, losses, liabilities, demands, costs (including reasonable attorney's fees) or expenses that may be asserted against ScriptMaven at any time in connection with said materials, or arising from any breach or alleged breach of the foregoing.

If said material is based upon a real person or a previously published or produced work, I warrant that I have authorized rights to market the property. I also understand that it is my responsibility to protect my work through registration with the Writers Guild of America and/or by copyright.

I understand that ScriptMaven does not option or purchase literary properties as a general rule but, if it were to do so, it would option or purchase said material in conjunction with a separate production entity.

I recognize that ScriptMaven and/or its clients have access to and/or may create or have created literary materials and ideas which may be similar to or identical to said material in theme, idea, plot, format, or other respects. I agree that I will not be entitled to any compensation because of the use by ScriptMaven or any of its clients of any such similar material which may have been independently created by ScriptMaven or any such client, or may have come to ScriptMaven from any other independent source. I understand that ScriptMaven promises to make every effort to guarantee the confidentiality of my work.

Except as otherwise provided in this agreement, I hereby release ScriptMaven of and from any and all claims, demands, and liabilities of every kind whatsoever, known or unknown, that may arise in relation to said material or by reason of any claim now or hereafter made by me that ScriptMaven has used or appropriated the said material, except for fraud or willful injury on your part.

I shall retain all rights to submit this or similar material to persons other than ScriptMaven.

I hereby state that I have read and understand this agreement and that no oral representations of any kind have been made to me, and that this agreement states our entire understanding with reference to the subject matter hereof. Any modification or waiver of any of the provisions of this agreement must be in writing and signed by both of us.

I have retained at least one copy of said material, and I hereby release ScriptMaven of and from any and all liability for loss of or damage to the copies of said material submitted to ScriptMaven hereunder.

I understand that ScriptMaven doesn't guarantee any financial result from its analysis and advice. It is my responsibility to provide said material in an acceptable format, provide the postage and handling for submission and return of said material, and pay for ScriptMaven's services in advance. ScriptMaven will inform me if these costs are different from the amounts I have forwarded.

Should any provision or part of any provision be void or unenforceable, such provision or part thereof shall be deemed omitted, and this agreement with such provision or part thereof omitted shall remain in full force and effect. This agreement shall at all times be construed so as to carry out the purposes hereof.
